Subject: MCIA BYLAWS AMENDMENTS APPROVED : NOTE FROM 2011 BYLAW COMMITTEE
To: 2011MCIAmembers@googlegroups.com
MCIA Bylaws have served the community so far. In order to address growth in our community and to protect the MCIA Brand, these needed to be refreshed. MCIA President, Suresh Krishna, took this challenge by creating an adhoc independent Bylaws Amendment Committee to :
(1) Recommend changes with members’ input and
(2) Conduct voting.
The Bylaws Amendment Committee is pleased to announce that after counting the electronic and in-person votes, 2011 amendments are passed by the MCIA members with a vast majority. We thank everyone who casted their vote. The revised Bylaws have set up a process with which it will be easier to give suggestions to the Advisory Council to make further improvements to the Bylaws in future as necessary.
Thanks to the current MCIA office bearers for their cooperation and support, especially to set up the electronic and in-person voting. Also, thanks to Harish Gowda and Chandrashekhar Amaravadi for the independent oversight during the in-person voting.
The approved amendments are effective immediately.
Once again, we thank you for your participation, and look forward to your continued support to the MCIA.
Thank You.

Subject: Committee for 2011 MCIA Organizational Changes
To: 2011MCIAmembers@googlegroups.com
I thank all the members for participating in voting and also providing valuable suggestions for MCIA's organizational changes. I am really glad that there is an active participation by our MCIA members who provided their suggestions. I also request all the members once again to attend all the MCIA events, actively participate and support organizational activities/events with the same passion.
I would like to share the thought process for recommending the change. As mentioned in the proposal email, the proposed changes were solely based and focused to make the "MCIA PRESIDENT" more responsible for his/her actions by setting up “another set of eyes” to review the MCIA President’s functioning as per the approved bylaws. As we all have seen currently, once the President is elected we do not have a body to monitor the President’s performance which is required to maintain the MCIA brand name in the community.
In order to accomplish this, it was proposed to set up a “Governing Body” with 5 members who can review the performance of the President. To start the process, 2011 MCIA committee proposed to select 5 of the past presidents :
> As we have 31 past Presidents in MCIA it was proposed to select 5 of the past presidents to serve on the Board to start with and have a rotation Policy as suggested in the proposed changes below.
> Amongst all the past presidents all of them have the eligibility to be part of the “Governing Body” as they have been closely involved in every decision of running the organization for the entire year of their presidency.
The "President elect " concept was suggested by few past presidents and community leaders so that the person getting on Board as President has an opportunity to work along with current President to know the Organization's process, practices, people and procedures before taking on the actual responsibility as the President and work towards raising the MCIA’s presence in the community.
By proposing the changes, an effort is made to make MCIA a better organization that has been in our community for the past 31 years which is the responsibility of every MCIA member.
Voting results with the clause ‘no voting considered as “YES” : We had a total of 56 people that participated in voting. 49 approved and 7 disapproved. There were a few members that have sent emails by providing suggestions. To address the suggestions or any additional suggestions that may be provided by members and also to have a framework built on majority consensus it is decided that we will not be proceeding with the changes immediately.
To address the suggestions of members and provide a recommendation of a workable framework, a five member team - “2011 MCIA Bylaw Committee” comprising of the following members is formed.
Please provide your suggestion / recommendations to the 2011 MCIA Bylaw Committee. Submitted entries will be reviewed by the above Bylaw committee. All the current 2011 MCIA members are requested to provide your suggestions / recommendations to the MCIA Bylaw Committee in regard to the changes you wish to see to the current MCIA framework.
As we all know there are various ways to implement a better framework for MCIA, request all the 2011 members to provide feedback to the above committee that is implementable with a consensus.
The “Bylaw Committee” will provide the final recommendation based on majority consensus as decided by the Bylaw committee on or before September 30th, 2011 to the 2011 MCIA Committee to be implemented.

Suresh Krishna
